1. Agreement & Scope
1.1 Contract Formation
These Terms of Service ("Terms," "Agreement," or "Terms of Service") constitute a binding legal agreement between you ("you," "your," "User," or "Customer") and Yousewire Canada Inc., a corporation incorporated under the laws of Ontario, Canada, with its principal office at 292, Sapling Grove, Ottawa, Ontario K2J 7M4 ("Yousewire," "we," "us," or "our"). Yousewire is a registered Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC) under registration number C10001673.
By registering for, accessing, or using any of Yousewire's services, mobile applications, websites, or platforms (collectively, the "Services" or "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Eligibility Criteria, our Risk Statement, and all other policies and guidelines incorporated by reference (collectively, the "Agreements").
1.2 Electronic Agreement
You agree that these Terms may be entered into electronically and that your use of the Platform constitutes your electronic signature. You consent to receive all communications electronically and acknowledge that such communications have the same force and effect as if provided in writing and signed by hand. You waive any rights or requirements under any statute, regulation, rule, ordinance, or other law in any jurisdiction which require an original signature or delivery or retention of non-electronic records.
1.3 Acceptance of Terms
IF YOU DO NOT AGREE WITH OR CANNOT COMPLY WITH THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES. Your continued use of the Services following any amendments to these Terms constitutes your acceptance of such amendments.
1.4 Services Covered
These Terms apply to all services offered by Yousewire, including but not limited to:
- Creating and maintaining an account on the Platform
- Funding, converting, and transferring money between currencies and corridors
- Holding funds in multi-currency wallets
- Sending and receiving funds domestically and internationally
- Participating in the P2P marketplace
- Using business account features
- Accessing promotional programs (e.g., referral bonuses, agent programs)
- Any other features, services, or functionalities offered through the Platform
2. Definitions
Wherever the following words and phrases appear in these Terms, they shall have the following meanings:
"Account" means your Yousewire account created to access and use the Services.
"AML" means Anti-Money Laundering.
"Business Account" means an account registered by a business entity with enhanced features and transaction limits.
"CAD" means Canadian Dollars.
"CTF" means Counter-Terrorist Financing.
"FINTRAC" means the Financial Transactions and Reports Analysis Centre of Canada.
"KYB" means Know Your Business verification procedures.
"KYC" means Know Your Customer verification procedures.
"MSB" means Money Services Business.
"NGN" means Nigerian Naira.
"P2P Marketplace" means the peer-to-peer currency exchange marketplace feature offered through the Platform.
"Personal Account" means an account registered by an individual for personal use.
"Personal Information" means data relating to an identifiable person, collected in accordance with our Privacy Policy.
"Platform" means Yousewire's mobile applications, websites, and electronic portals.
"Services" means all services, features, and functionalities offered by Yousewire through the Platform.
"USD" means United States Dollars.
"User", "you", or "your" means the person or entity using the Services in accordance with these Terms.
"Wallet" means the electronic account balance held in a specific currency within your Yousewire Account.
3. Eligibility
3.1 General Eligibility Requirements
To be eligible to use our Services, you must satisfy all of the following requirements:
Age and Legal Capacity: You must be at least eighteen (18) years of age or the age of majority in your jurisdiction of residence, whichever is greater. You must possess the legal capacity to enter into a binding contract under the laws of your jurisdiction.
Identity Verification: You must successfully complete our Know Your Customer (KYC) verification process for individual accounts or Know Your Business (KYB) verification process for business accounts. This includes providing government-issued identification, proof of address, biometric verification (liveness detection), and any other documentation we may reasonably require.
Geographic Restrictions: You must not be a resident of, physically located in, or conducting business from any jurisdiction listed in our Eligibility Criteria document as a prohibited jurisdiction.
Sanctions Screening: You must not appear on any sanctions lists maintained by the Government of Canada, the United Nations Security Council, the United States Office of Foreign Assets Control (OFAC), the European Union, or any other applicable sanctions authority. You must not be acting on behalf of, or for the benefit of, any sanctioned person or entity.
Accurate Information: You must provide accurate, complete, and current information during registration and throughout your use of the Services. You must promptly update your information when changes occur.
Compliance with Laws: You must comply with all applicable laws and regulations in your jurisdiction, including but not limited to laws related to anti-money laundering (AML), counter-terrorist financing (CTF), tax reporting, and consumer protection.
Good Standing: You must not have been previously suspended or terminated from Yousewire Services due to violations of these Terms or applicable laws.
3.2 Business Account Eligibility
In addition to the requirements in Section 3.1, business entities must:
- Be a duly registered legal entity (corporation, partnership, sole proprietorship, or other recognized business structure) in a jurisdiction where Yousewire operates or has approved for business account services.
- Not be engaged in any prohibited business activities as defined in our Eligibility Criteria.
- Successfully complete our KYB verification process, including providing business registration documents, articles of incorporation, proof of business address, business ownership structure, and Ultimate Beneficial Owner (UBO) identification.
- Ensure all beneficial owners (individuals owning 25% or more of the business) and key executives successfully complete individual KYC verification and are not on any sanctions lists.
3.3 Representations and Warranties
By using our Services, you represent and warrant that:
- You meet all eligibility requirements set forth in these Terms and our Eligibility Criteria.
- All information you provide to Yousewire is true, accurate, complete, and current.
- You will use the Services only for lawful purposes and in accordance with these Terms.
- You are not using the Services on behalf of, or for the benefit of, any person or entity that does not meet the eligibility requirements.
- You have the authority to bind any business entity on whose behalf you are acting.
3.4 Consequences of Ineligibility
If you do not meet or cease to meet the eligibility requirements, Yousewire reserves the right to immediately suspend or terminate your Account, refuse to process transactions, hold funds pending investigation, and report suspicious activities to FINTRAC, law enforcement, or other regulatory authorities as required by law.
4. Account Registration & Security
4.1 Account Creation
To use our Services, you must create a Yousewire Account by providing the information requested during the registration process. You agree to provide accurate, current, and complete information and to keep your Account information updated at all times.
4.2 Account Types
Yousewire offers two types of accounts:
Personal Accounts: For individuals conducting personal financial transactions.
Business Accounts: For registered business entities conducting business-related financial transactions, with enhanced features and transaction limits.
4.3 Account Security & User Responsibility
You are solely responsible for safeguarding your Account credentials, including your username, password, PIN, two-factor authentication (2FA) codes, biometric authentication, and any other security measures associated with your Account.
You agree to:
- Maintain the confidentiality of your Account credentials at all times.
- Not share your Account credentials with any other person or entity.
- Use strong, unique passwords and enable all available security features (including 2FA).
- Restrict access to your computer, mobile device, and Account.
- Log out of your Account when not in use, especially on shared or public devices.
- Immediately notify Yousewire at support@yousewire.com if you become aware of any unauthorized access, use, or security breach of your Account.
You accept responsibility for ALL activities and transactions that occur under your Account, whether authorized by you or not, until you notify us of unauthorized access. Yousewire is not liable for any losses resulting from unauthorized use of your Account if you have failed to adequately secure your Account credentials or have shared them with others.
4.4 Account Restrictions
You may not:
- Create more than one Personal Account without our prior written consent.
- Use another person's Account or allow another person to use your Account.
- Use a username that is offensive, vulgar, obscene, infringes on intellectual property rights, or impersonates another person or entity.
- Register an Account using false, inaccurate, or misleading information.
- Transfer, sell, or assign your Account to any other person or entity without our prior written consent.
4.5 Account Verification
Yousewire employs identity verification procedures to comply with regulatory requirements and prevent fraud, money laundering, and terrorist financing. You agree to:
- Provide all documentation and information requested by Yousewire for verification purposes.
- Consent to identity verification checks, including but not limited to document verification, biometric verification (liveness detection), sanctions screening, and adverse media screening.
- Cooperate with any additional verification requests, including Enhanced Due Diligence (EDD) procedures if your Account or transactions are deemed higher risk.
Your access to certain Services or transaction limits may be restricted until verification is successfully completed.
5. Services
Yousewire provides the following services through the Platform:
5.1 Multi-Currency Wallet
Hold, manage, and view balances in multiple currencies, including Canadian Dollars (CAD), Nigerian Naira (NGN), and US Dollars (USD). Additional currencies may be added at Yousewire's discretion.
5.2 Currency Conversion
Convert funds between supported currencies at the exchange rates displayed in the Platform at the time of the transaction. Exchange rates are subject to change and are locked at the time you confirm the transaction.
5.3 Send & Receive Money
Transfer funds to:
- Other Yousewire users (instant transfers within the Platform)
- External bank accounts (domestic and international)
- Mobile money accounts in supported countries
5.4 P2P Marketplace
Buy and sell currencies with other Yousewire users at custom rates within the boundaries set by Yousewire. All P2P transactions are processed and settled internally by Yousewire—users do not exchange funds directly with each other. Yousewire debits and credits the respective wallets upon transaction completion, ensuring secure and compliant currency exchanges within the Platform.
5.5 International Payouts
Send money to recipients in supported countries through our payout partners. Supported countries and payout methods are subject to change.
5.6 Business Accounts
Access enhanced features for business entities, including:
- Higher transaction limits
- Team member access controls
- Business-specific reporting and transaction history
- Bulk payment capabilities (subject to availability)
5.7 Promotional Programs
Participate in referral programs, agent programs, and other promotional offers subject to the terms and conditions of each specific program.
5.8 Service Modifications
Yousewire reserves the right to add, modify, suspend, or discontinue any Services or features at any time, with or without notice, at our sole discretion. We are not liable for any modification, suspension, or discontinuation of Services.
6. Fees & Exchange Rates
6.1 Fee Disclosure
Yousewire may charge fees for certain Services. All applicable fees will be clearly disclosed to you in the Platform before you confirm a transaction. By proceeding with a transaction, you agree to pay the disclosed fees.
6.2 Fee Schedule
Our current fee schedule is available within the Platform. Fees may include, but are not limited to:
- Currency conversion fees (spread between buy and sell rates)
- P2P marketplace transaction fees
- International payout fees
- Withdrawal fees to external bank accounts or mobile money accounts
- Expedited processing fees (if available)
- Business account fees (if applicable)
6.3 Exchange Rates
Exchange rates are determined by Yousewire based on market conditions and may include a margin or spread. Exchange rates fluctuate continuously and are locked at the time you confirm a transaction. Yousewire does not guarantee any specific exchange rate and is not liable for rate fluctuations.
6.4 Third-Party Fees
You are responsible for any fees charged by third parties, including but not limited to:
- Fees charged by your bank or financial institution for deposits or withdrawals
- Fees charged by recipient banks or mobile money providers
- Correspondent bank fees for international transfers
- Network fees for cryptocurrency transactions (if applicable)
Yousewire has no control over third-party fees and is not responsible for such charges.
6.5 Fee Changes
Yousewire reserves the right to change its fees at any time. We will provide you with advance notice of fee changes by posting updated fees on our website and/or sending you a notification through the Platform or via email. Your continued use of the Services after fee changes take effect constitutes your acceptance of the new fees.
7. Funding Your Account
7.1 Funding Methods
You may fund your Yousewire Account using the following methods, subject to availability:
- Bank transfers (Interac e-Transfer in Canada, bank transfers in Nigeria)
- Deposits through our funding partners
- Cryptocurrency instant conversion (for USD wallet funding)
- Transfers from other Yousewire users
- Other methods as made available by Yousewire from time to time
7.2 Funding Restrictions
You may only fund your Account using payment methods in your own name or in the name of your registered business entity. Third-party funding (funding from accounts not in your name) is prohibited unless you have received prior written approval from Yousewire.
7.3 Processing Time
Funding transactions may take time to process depending on the funding method and third-party processing times. Yousewire is not responsible for delays caused by banks, payment processors, or other third parties.
7.4 Funding Verification
Yousewire reserves the right to verify the source of funds and may request additional documentation or information before crediting funds to your Account. Funds may be held pending verification.
8. Transfers & Currency Exchange
8.1 Transfer Authorization
By initiating a transfer or currency exchange transaction, you authorize Yousewire to debit your Account for the transaction amount plus any applicable fees. Once you confirm a transaction, it cannot be cancelled unless it has not yet been processed.
8.2 Transfer Processing
Yousewire will make reasonable efforts to process transfers promptly. However, processing times may vary depending on the destination, payment method, recipient bank or mobile money provider, and compliance requirements. Yousewire is not liable for delays caused by third parties or circumstances beyond our reasonable control.
8.3 Transfer Errors
If you provide incorrect recipient information (e.g., wrong account number, wrong mobile money number), Yousewire is not responsible for misdirected funds. We will make reasonable efforts to assist in recovering misdirected funds, but we cannot guarantee recovery, and you may be responsible for any costs incurred in the recovery process.
8.4 Failed Transfers
If a transfer fails due to incorrect recipient information, recipient account restrictions, or other reasons beyond Yousewire's control, we will attempt to refund the transaction amount to your Account, less any fees incurred. Refunds may take several business days to process.
9. P2P Marketplace
9.1 Nature of P2P Marketplace
The P2P Marketplace is a platform that enables Yousewire users to buy and sell currencies with each other at custom rates. All P2P transactions are processed, cleared, and settled internally by Yousewire. Users do not exchange funds directly with each other outside the Platform. Yousewire acts as the central counterparty, debiting the seller's wallet and crediting the buyer's wallet upon transaction completion. This ensures that all currency exchanges are secure, compliant, and traceable within Yousewire's regulated infrastructure.
9.2 Rate Boundaries
P2P exchange rates must fall within the boundaries set by Yousewire (currently a 30 NGN spread from the mid-market rate). Yousewire reserves the right to adjust rate boundaries at any time.
9.3 P2P Transaction Process
When you create or accept a P2P offer:
- The selling user's funds are held in escrow by Yousewire until the transaction is completed or cancelled.
- Once both parties confirm the transaction, Yousewire processes the currency exchange internally by debiting the seller's wallet in the source currency and crediting the buyer's wallet in the source currency, while simultaneously debiting the buyer's wallet in the destination currency and crediting the seller's wallet in the destination currency.
- All debits and credits are executed by Yousewire within the Platform—no funds are transferred externally between users.
- If a transaction is disputed, Yousewire will investigate and make a final determination regarding the release or reversal of funds.
9.4 P2P Risks
You acknowledge and accept the risks associated with P2P transactions, including but not limited to:
- Exchange rate fluctuations between the time you create/accept an offer and the time the transaction is completed.
- Delays in transaction completion due to verification requirements, compliance checks, or technical issues.
- The possibility that a transaction may be cancelled or reversed if it violates these Terms or applicable laws.
Since Yousewire processes all P2P transactions internally and acts as the central counterparty, you do not bear counterparty risk from other users. However, Yousewire is not liable for losses arising from P2P transactions except where such losses result directly from Yousewire's fraud or gross negligence, as set forth in Section 21 (Limitation of Liability).
10. International Payouts
10.1 Payout Partners
International payouts are processed through our third-party payout providers. Yousewire acts as an intermediary and is not responsible for delays, fees, or failures caused by payout partners or recipient banks.
10.2 Supported Countries
International payouts are currently available to eight (8) countries, with plans to expand. Supported countries and payout methods are subject to change without notice.
10.3 Payout Processing
Payout processing times vary depending on the destination country, payout method, and recipient bank or mobile money provider. Yousewire is not liable for delays or failures caused by third parties.
10.4 Payout Restrictions
You may not use international payout services to send funds to prohibited jurisdictions or for prohibited purposes as defined in our Eligibility Criteria.
11. Business Accounts
11.1 Business Account Features
Business Accounts offer enhanced features, including:
- Higher transaction limits (up to $200,000 USD per day, subject to verification)
- Team member access controls (ability to add team members with specific permissions)
- Business-specific transaction history and reporting
- Bulk payment capabilities (subject to availability)
11.2 Business Account Verification
Business Accounts require completion of our KYB verification process, including:
- Business registration documents
- Articles of incorporation or equivalent
- Proof of business address
- Business ownership structure and Ultimate Beneficial Owner (UBO) identification
- Verification of all beneficial owners and key executives
11.3 Business Account Responsibilities
Business Account holders are responsible for:
- Ensuring that all team members with access to the Account comply with these Terms.
- Maintaining accurate business information and promptly updating Yousewire of any changes.
- Ensuring that the business is not engaged in any prohibited business activities as defined in our Eligibility Criteria.
12. Transaction Limits & Verification
12.1 Transaction Limits
Yousewire imposes transaction limits based on your Account type and verification level. Current limits include:
Personal Accounts:
- Single transaction limit: $4,500 CAD equivalent
- Daily transaction limit: $10,000 CAD equivalent
- Weekly transaction limit: $30,000 CAD equivalent
- Monthly transaction limit: $90,000 CAD equivalent
Business Accounts:
- Daily transaction limit: $200,000 USD equivalent
- Monthly transaction limit: Subject to risk assessment
12.2 Limit Adjustments
Yousewire reserves the right to adjust transaction limits at any time based on:
- Your verification level
- Transaction history and patterns
- Risk assessment
- Regulatory requirements
- Compliance considerations
12.3 Enhanced Due Diligence
Yousewire may require Enhanced Due Diligence (EDD) for certain transactions or Accounts deemed higher risk. EDD may include requests for additional documentation, information about the source of funds, or the purpose of transactions. Failure to provide requested information may result in transaction delays, Account restrictions, or Account termination.
12.4 Large Transaction Reporting
Transactions of $10,000 CAD or more are subject to Electronic Funds Transfer Report (EFTR) requirements under FINTRAC regulations. Yousewire will report such transactions to FINTRAC as required by law.
13. Cancellations & Refunds
13.1 Cancellation Requests
You may request to cancel a transaction before it has been processed. To request a cancellation, contact Yousewire support immediately at support@yousewire.com with your transaction reference number.
13.2 No Guarantee of Cancellation
Yousewire does not guarantee that a cancellation request will be successful. Once a transaction has been processed, sent to a recipient, or executed in the P2P Marketplace, it cannot be cancelled.
13.3 Refunds
Refunds are issued at Yousewire's sole discretion and only in the following circumstances:
- The transaction was not completed due to an error by Yousewire.
- The transaction was cancelled before processing.
- Required by law or regulatory authority.
13.4 Refund Processing
If a refund is approved, Yousewire will refund the transaction amount to your Account or original payment method, less any fees incurred or costs associated with the refund. Refunds may take several business days to process.
13.5 No Refunds for Completed Transactions
There are no refunds for completed transactions unless the error was caused by Yousewire's proven breach of these Terms. You are responsible for ensuring that all transaction details (recipient information, amount, currency) are correct before confirming a transaction.
14. Prohibited Activities
14.1 General Prohibitions
You agree not to use the Services for any illegal, prohibited, or unauthorized activities. Prohibited activities include, but are not limited to:
Illegal Activities: Any activity that violates any applicable national, provincial, or international law or regulation, including but not limited to laws related to money laundering, terrorist financing, fraud, tax evasion, sanctions violations, or other financial crimes.
Financial Crimes: Money laundering, terrorist financing, fraud, embezzlement, bribery, corruption, or any other financial crime.
Prohibited Transactions: Transactions involving:
- Narcotics, controlled substances, or illegal drugs
- Weapons, ammunition, or defense equipment
- Counterfeit goods or intellectual property infringement
- Gambling or illegal betting
- Adult content or services
- Any goods or services that are illegal in your jurisdiction or the recipient's jurisdiction
Sanctions Violations: Transactions to, from, or for the benefit of any person, entity, or jurisdiction subject to sanctions by the Government of Canada, the United Nations, OFAC, the European Union, or other applicable sanctions authorities.
Prohibited Jurisdictions: Transactions to, from, or involving any jurisdiction listed in our Eligibility Criteria as a prohibited jurisdiction.
Unauthorized Use: Impersonating any person or entity, falsely stating or misrepresenting your affiliation with any person or entity, or using the Services on behalf of any person or entity that does not meet the eligibility requirements.
Harm to Minors: Exploiting, harming, or attempting to exploit or harm minors in any way.
Spam and Solicitation: Transmitting or procuring the sending of any advertising, promotional material, junk mail, chain letters, spam, or any other similar solicitation.
14.2 Technical Prohibitions
You agree not to:
Reverse Engineering: Decompile, reverse-engineer, translate, convert, adapt, alter, modify, enhance, add to, delete, or in any way tamper with, or gain unauthorized access to, any part of the Platform or Services.
Unauthorized Reproduction: Copy, reproduce, republish, frame, upload to a third party, transmit, distribute, or create derivative works of the whole or any part of the Platform or Services.
Malicious Software: Send, submit, post, or otherwise transmit any material or messages that contain software viruses, trojan horses, worms, logic bombs, or any other files designed to interrupt, destroy, or negatively affect the Platform.
Automated Access: Use any robot, spider, scraper, or other automatic device, process, or means to access the Platform without our prior written consent.
Data Collection: Conduct any systematic or automated data collection activities on or in relation to the Platform without Yousewire's express written consent.
Interference: Use any device, software, or routine that interferes with the proper working of the Platform or Services.
Denial-of-Service Attacks: Attack the Platform via a denial-of-service attack or any other attack that disrupts the availability of the Services.
Circumventing Security: Attempt to bypass, circumvent, or disable any security measures, access controls, or usage limits implemented by Yousewire.
14.3 Consequences of Prohibited Activities
If you engage in any prohibited activities, Yousewire reserves the right to:
- Immediately suspend or terminate your Account without prior notice.
- Hold or freeze funds in your Account pending investigation.
- Refuse to process any transactions.
- Report your activities to FINTRAC, law enforcement, or other regulatory authorities.
- Pursue legal remedies, including recovery of losses and cooperation with law enforcement investigations.
- Permanently ban you from using the Services.
15. Compliance & Monitoring
15.1 Regulatory Compliance
Yousewire is committed to complying with all applicable laws and regulations, including but not limited to the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA), FINTRAC regulations, Canadian sanctions laws, and international AML/CTF standards.
15.2 Transaction Monitoring
Yousewire monitors all transactions for suspicious activity, unusual patterns, and compliance with AML/CTF regulations. You consent to Yousewire's monitoring of your Account and transactions.
15.3 Right to Request Information
Yousewire reserves the right to request additional information or documentation from you at any time, including but not limited to source of funds, purpose of transactions, relationship with transaction counterparties, business activities and revenue sources, and any other information reasonably required for compliance purposes.
15.4 Transaction Delays and Refusals
Yousewire may delay, suspend, or refuse any transaction if additional information or documentation is required, the transaction is deemed suspicious or high-risk, the transaction may violate applicable laws, required by law, court order, or regulatory authority, or the transaction involves a prohibited jurisdiction, person, or entity. Yousewire is not liable for any losses arising from compliance-related delays, suspensions, or refusals.
15.5 Reporting to Authorities
Yousewire is required by law to report certain transactions and suspicious activities to FINTRAC and other regulatory authorities. You consent to Yousewire's disclosure of your information to regulators, law enforcement, and other authorities as required or permitted by law. Yousewire is prohibited from informing you if we have filed a Suspicious Transaction Report (STR) or other regulatory report concerning your Account or transactions.
16. Intellectual Property Rights
16.1 Ownership
All content, materials, features, functionality, software, source code, algorithms, data, text, graphics, photographs, images, videos, audio, logos, trademarks, service marks, trade names, domain names, designs, button icons, scripts, and other intellectual property contained in or made available through the Platform are either owned by Yousewire or licensed to Yousewire, and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of Canada and international conventions.
16.2 Limited License
Subject to your compliance with these Terms, Yousewire grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Services for your personal or internal business use only.
16.3 Prohibited Uses of Intellectual Property
Unauthorized use or exploitation of Yousewire Content may violate copyright, trademark, patent, and other intellectual property laws and could result in criminal or civil penalties.
16.4 Enforcement
Any act of reproduction, representation, transmission, or use of Yousewire Content, in part or in whole, without Yousewire's express written authorization is strictly prohibited and will result in legal action. Yousewire reserves the right to pursue all available legal remedies, including injunctive relief and monetary damages.
16.5 Trademarks
"Yousewire," the Yousewire logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Yousewire Canada Inc. or its affiliates. You may not use such marks without our prior written permission.
17. Third-Party Services
Yousewire uses third-party service providers to facilitate certain aspects of the Services. Yousewire has no control over, and assumes no responsibility for, the content, privacy policies, practices, or services of any third-party service providers. Yousewire is not liable for any delays, fees, failures, errors, or losses caused by third-party service providers.
18. Service Availability & Modifications
YOUSEWIRE DOES NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. The Services may be interrupted for maintenance, updates, security measures, compliance requirements, technical issues, or other reasons. Yousewire reserves the right to withdraw, amend, modify, suspend, or discontinue any part of the Services at any time, with or without notice, at our sole discretion.
19. Promotional Programs & Referrals
Yousewire may offer referral programs, agent programs, and other promotional offers from time to time. Participation is subject to eligibility criteria set by Yousewire. Yousewire reserves the right to modify, suspend, or terminate any promotional program at any time. Referral bonuses, rewards, and incentives are not guaranteed and are subject to verification. Any attempt to manipulate, exploit, or abuse any promotional program may result in disqualification, forfeiture of all rewards, suspension or termination of your Account, and potential legal action.
20. Disclaimers
THE SERVICES ARE PROVIDED BY YOUSEWIRE ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOUSEWIRE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SERVICES. YOUSEWIRE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
YOUSEWIRE DOES NOT PROVIDE INVESTMENT, FINANCIAL, TAX, OR LEGAL ADVICE. The Services are for currency exchange and money transfer purposes only. You should consult with qualified professionals before making any financial decisions.
21. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOUSEWIRE IS RESPONSIBLE ONLY FOR DIRECT LOSSES YOU SUFFER THAT ARE CAUSED BY YOUSEWIRE'S PROVEN BREACH OF THESE TERMS. Yousewire is not liable for indirect, incidental, consequential, punitive, exemplary, or special damages.
YOUSEWIRE'S TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS IS LIMITED TO THE GREATER OF: CAD $100 (or equivalent in local currency), OR the total fees you have paid to Yousewire in the three (3) months immediately prior to the event giving rise to the claim.
The above limitation does not apply to liability that cannot be excluded or limited by law, including fraud or gross negligence by Yousewire, death or personal injury caused by Yousewire's negligence, and mandatory consumer rights under applicable law.
22. Indemnification
You agree to indemnify, defend, and hold harmless Yousewire, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, contractors, and licensors from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, costs, and expenses arising out of or related to your breach of these Terms, your violation of any law or regulation, your fraudulent or unlawful use of the Services, misuse of your Account, provision of false information, infringement of any intellectual property rights, any transaction you initiate, or your use of third-party services.
23. Account Suspension & Termination
You may terminate your Account at any time by contacting Yousewire support at support@yousewire.com. Yousewire may suspend or terminate your Account immediately, without prior notice or liability, for breach of Terms, violation of laws, suspected fraud, failure to complete verification, providing false information, engaging in prohibited activities, posing a risk, regulatory requirements, inactivity (12 consecutive months), or any other reason deemed appropriate.
Upon suspension or termination, your access to the Services will be immediately revoked. Funds in your Account may be held pending investigation. You remain liable for any obligations incurred prior to termination. Funds may be held for a reasonable period (typically up to 180 days or longer if required by law).
24. Complaints & Dispute Resolution
24.1 Internal Complaints Process

Yousewire will endeavor to respond to complaints within 48 hours and resolve complaints within a reasonable timeframe (typically within 30 days).
24.2 Escalation
If you are not satisfied with Yousewire's response, you may escalate the matter to the Compliance Team: compliance@yousewire.com
24.3 External Dispute Resolution
If your complaint is not resolved to your satisfaction through Yousewire's internal complaints process, you may file a complaint with FINTRAC or other applicable regulatory authorities, or pursue legal remedies through the courts (subject to the arbitration provisions below).
24.4 Binding Arbitration
Any disputes that cannot be resolved through the internal complaints process shall be resolved by binding arbitration in accordance with the Arbitration Act, 1991 (Ontario) and the rules of the ADR Institute of Canada. The arbitration shall take place in Toronto, Ontario, Canada, conducted in English. BY AGREEING TO THESE TERMS, YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY AND YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.
25. Electronic Communications & Signatures
By using the Services, you consent to receiving electronic communications from Yousewire. You agree that all notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement for written communications. Your electronic signature has the same legal effect as a handwritten signature. You may opt out of marketing communications by following the unsubscribe instructions or contacting support@yousewire.com.
26. Force Majeure
Yousewire shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is caused by events beyond Yousewire's reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, cyberattacks, system outages, power failures, regulatory interventions, changes in law, labor disputes, failures by third-party service providers, or any other events beyond Yousewire's reasonable control. Yousewire's obligations shall be suspended for the duration of such events.
27. Amendments to Terms
Yousewire reserves the right to modify, amend, or update these Terms at any time. If we make material changes, we will provide notice by posting updated Terms on our website and sending you an email notification. Amendments will become effective on the date specified in the notice (typically 30 days after notice). Your continued use of the Services after the effective date constitutes your acceptance of the amended Terms.
28. Severability & Waivers
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. No waiver by Yousewire of any term or condition shall be considered a further or continuing waiver. These Terms, together with our Privacy Policy, Eligibility Criteria, Risk Statement, and any other policies incorporated by reference, constitute the entire agreement between you and Yousewire regarding the Services.
29. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Subject to the arbitration provisions in Section 24.4, you irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario.
The parties have expressly requested that these Terms and all related documents be drafted in English. Les parties ont expressément demandé que cette convention ainsi que tous les documents qui s'y rattachent soient rédigés en anglais.
